Corporate / LLC Planning

Initially, corporate or LLC planning usually includes the formation of a limited liability entity (i.e. corporation or LLC), and the creation of organizational documents (i.e. bylaws, operating agreement, or shareholder agreement).  For entities that are already organized, legal assistance may be necessary to assist with updates to corporate documents, analysis of corporate decisions, or help with the addition or removal of corporate shareholders or LLC members or succession planning for the next generation of owners.   Finally, as an entity reaches the end of its useful purpose, legal assistance may be necessary to work through the process of winding down and distributing assets, or, if a buyer is available, the sale of the entity or its assets, as appropriate.
